| Background |
| The provincial capital of Hefei tendered for the sale and operation of its waste water treatment plant “Wang Xiao Ying“ in December, 2003. BWI pre-qualified to participate in the tender process together with four Chinese bidders. The operation company, a Joint venture of BWI (80 %) and East China Engineering Science and Technology Ltd (20 %), becomes entitled to operate the waste water treatment plant through a concession agreement for 23 years upon payment of the purchase price. The waste water treatment plant and its appertaining land-usage rights (“Lease”) were transferred to the JV for the entire period at no further cost (“Asset Transfer Agreement“) and must be handed back to the City of Hefei free of charge at the end of the concession period. The concessionaire will be guaranteed a daily volume of 285,000 m³ for the entire period at an indexed tariff of RMB 0.75 m³ (the “Waste Water Treatment Service Agreement”). |
